MEMBERSHIP TERMS AND CONDITIONS
1. Reward membership and its benefits (IGY Anchor Club Loyalty Program) are offered at the sole and absolute discretion of IGY Anchor Club LLC, a Delaware limited liability company (“IGY”) solely to eligible captains and eligible vessel owners. IGY and its affiliates have the right to change, limit, modify or cancel IGY Anchor Club Loyalty Program rules, regulations, rewards and reward levels at any time, with or without notice, even though such changes may affect the value of the rewards already accumulated, the ability to use accumulated rewards or the ability to obtain certain rewards. IGY and its affiliates may, among other things, (a) modify, increase or decrease the requirements for earning rewards; (b) withdraw, limit, modify, or cancel any reward; (c) add black out dates, limit berths available for any reward at any participating marina, or otherwise restrict the continued availability of rewards; (d) change program benefits, travel providers, participating marinas served by IGY (or its travel providers), conditions of participation, rules for earning, redeeming, receiving, or rewards, or rules governing the use of rewards; or (e) change or cancel its travel providers rewards, if any. The accumulation of rewards does not entitle members to any vested rights with respect to rewards, or program benefits. In accumulating rewards, members may not rely upon the continued availability of any reward or reward level.
2. Participation in the IGY Anchor Club Loyalty Program is subject to terms and conditions, rules, regulations, policies and procedures, including these membership terms and conditions (“Program Rules”) that IGY may, in its sole discretion, adopt from time to time. IGY may amend the Program Rules at any time without notice. IGY has the sole and absolute discretion to interpret and apply the Program Rules.
3. The accumulation and earning of rewards is subject to the Program Rules. Each member is responsible for reading the website at www.igyanchorclub.com in order to understand his or her rights, responsibilities and status in the program.
4. The rewards structure is subject to modification, cancellation, or limitation at any time, in IGY’s sole and absolute discretion, with or without notice. The requirements or conditions to earn or redeem rewards may be substantially increased or modified, any reward may be withdrawn, and restrictions on any reward or its receipt or use may be imposed at any time.
5. After applying for the IGY Anchor Club Loyalty Program, a membership number will be assigned to each applicant. Upon receiving this number, an individual becomes eligible to earn rewards under the IGY Anchor Club Loyalty Program.
6. An account may be closed at IGY’s discretion if no utilization of IGY participating marinas occurs during any twenty-four month period. All or some of the rewards on the account will be forfeited at that time, in IGY’s sole discretion.
7. Rewards earned through participation in the IGY Anchor Club Loyalty Program may be subject to tax liability, including disclosure, connected with the participation in the IGY Anchor Club Loyalty Program is the sole responsibility of the member.
8. In the case of fraud or abuse involving the IGY Anchor Club Loyalty Program, or a participating marina, IGY at its sole discretion (and its partners), have the right to take appropriate administrative and/or legal action, and all rewards earned may be forfeited and the account closed.
9. Membership in the IGY Anchor Club Loyalty Program, including any rewards earned, may be revoked or suspended at any time in IGY’s sole and absolute discretion if a captain or eligible vessel owner fails to pay any accounts at participating marinas when due, or otherwise violates marina rules and procedures.
10. The IGY Anchor Club Loyalty Program is void where prohibited by law.
11. It is the responsibility of any eligible captain to comply with all policies of his or her company or vessel owner concerning reward programs.
12. Members may be provided with the ability to use usernames, passwords, or other codes or devices to gain access to restricted portions of the www.IGYAnchorClub.com site (“Access Codes”). The content contained in such restricted areas is confidential to IGY and its affiliates and is provided to members for their personal use only. IGY reserves the right at its sole discretion to prohibit the use of such Access Codes on the members’ behalf by third parties where we determine that such use interferes with our site’s operation or results in commercial benefits for other entities to our detriment.
13. If IGY or any participating marinas improperly deems a member rewards or some other benefit, the member’s exclusive remedy shall be the issuance of the improperly denied award or benefit, if available, or such other alternative comparable benefit as determined by IGY, which shall have no additional liability whatsoever. In no event shall IGY or its affiliates (or any IGY participating marina) be liable to any member, or anyone claiming through a member, for any direct, indirect or consequential damages, or lost revenue or profits, arising out of IGY’s (or any IGY Anchor Club Loyalty Program participant’s) acts or omissions in connection with the IGY Anchor Club Loyalty Program.
14. IGY reserves the right to audit any and all accounts at any time and without notice to the member to ensure compliance with the IGY Anchor Club Loyalty Program. If an audit reveals discrepancies or violations, the processing of rewards may be delayed until the discrepancies or violations are resolved satisfactorily to IGY. Pending such resolution, members may be prohibited from receiving rewards as determined by IGY in it sole and absolute discretion.
15. Rewards are non-transferable to any other person or entity for any reason, including divorce or inheritance.
16. Rewards may not be combined with the rewards of other participants in the IGY Anchor Club Loyalty Program.
17. Only eligible captains and eligible vessel owners may be members of the IGY Anchor Club Loyalty Program. All members must be at least 18 years of age. Accrued rewards do not constitute property of the member.
18. These terms and conditions and all disputes arising in connection with IGY Anchor Club Loyalty Program shall be construed in accordance with the laws of the State of New York.
19. Each member hereby agrees that any disputes arising in connection with these terms and conditions of the IGY Anchor Club Loyalty Program or the Program Rules shall be subject to the jurisdiction of the courts of the State of New York located in Manhattan New York.
